LEGAL COUNSEL (CONTRACT SPECIALIST FOR ENERGY RENEWABLE PROJECTS)

Greening Group is looking for a Legal counsel with at least 5 years of experience in corporate and contractual matters and business operations related to renewable energy projects (utility scales and self-consumptions projects for industrial clients, local energy communities and other customers) in various geographies (Spain, US, Germany, France, Marocco, etc), who will have the following responsibilities:➡️ Drafting, and negotiating contracts, assessing project an contractual risks, and setting risk mitigation actions related to the development, construction, operation, maintenance, management and ownership of PV plants and the supply of energy (i.e. lease agreements, DSAs, PPAs, EPCs, O&M contracts, asset management and other services agreements, POs and subcontracts for the supply of equipment, engineering and/or other works or services, etc) and other owned or third parties projects. ➡️ Supporting to Business on project development, permitting and other regulatory matters in the ongoing activities related to projects under development until the achievement of the RTB and/or COD.➡️ Leading the legal advice on corporate and project financing, due diligences, acquisitions and sales of shares, renewable assets or business and other M&A, investment, corporate and financial transactions, drafting and negotiating financing agreements, SPAs, SHA, JVAs, and other contractual or corporate documents in connection thereto, and coordination with financial institutions, lenders, legal and technical advisors and other stakeholders.➡️ Managing the corporate structure worldwide, insurance policies and providing corporate services for the Group Companies, JVs and SPVs, including drafting minutes and resolutions of the BoD and Shareholders Meetings, PoA and other corporate transactions or documentation and intercompanies agreements. ➡️ Supporting Operations on contract management supervision of claims, definition of strategy and follow-up of litigation and liaison with external lawyers.To carry out these functions we are looking for a profile with the following essential requirements:✅ Degree in Law. Double degree in Law and Business Administration and Management, Economics, or Finance or a postgraduate or master’s degree in Energy, M&A, or similar would be highly valued. ✅ Substantial experience in aforementioned areas as a legal counsel of a company operating in different jurisdictions in the renewable energy sector. Experience in the infrastructure/construction sector may be positively assessed.✅ Fluency in English and Spanish, (written and oral).
