M&A TRANSACTION MANAGER

We are part of one of the most booming sectors and we are in an exciting business moment.Our team based in Madrid keeps growing and we are looking forward for a Transaction Manager to join our Iberian Team with the desire and appetite to continue growing within the Renewable Energy market as part of a company where he/she can have the vision of the company's strategy and be an active part of business development in the Iberian market.Responsibilities: Reporting to the Transaction Director of the company among your areas of responsibility will be the following:-New Project Evaluation Supervision: work closely with project teams and supervise the evaluation of new opportunities from a financial viability point of view and adequacy to company’s strategy-Due Diligence analysis Supervision: Supervise the review of Due Diligence Reports prepared by external advisors (technical, legal and tax) and address the conclusions jointly with the Project Management, Technical, Legal and Finance Teams.-Lead Origination Activity support: Support the Origination team in the presentation of opportunities to the Investment CommitteeAssist the structuring and negotiation of Development Service Agreement (DSA) and Share Purchase Agreement (SPA) termsLead and support the Origination team in the negotiation and closing of transactions;-Lead Assets Sale Activity: Responsible for individual sales process alongside the Transaction Director and coordinate the sales process both internally (Technical, Legal, Finance and Project Development)Lead interaction with external Financial AdvisorsCoordinate with Technical, Legal, Finance and Project Development teams the recollection of information and coordinate their support in the sales process;Review transaction documentation (Share Purchase Agreements) and lead the negotiation process both with the legal team and with bidders-Assist the preparation of periodic reporting to Senior Management regarding progress of ongoing sales/acquisition process -Review and support the preparation of market intelligence reports including spot price market forecasts, energy policy matters and other market trends that may affect key project assumptions and recent deals in the market-Market Network: Support and engage in discussions with Iberian market players (investors, advisors, industry experts, etc) and gather market intelligence as well as establish external relationshipsRequirements: To help us to achieving our goals, we are looking forward a professional with:At least 7-10 years of experience in the renewable energy sector (investment banking, project finance or corporate M&A experience is required)Excellent verbal, written and interpersonal communication skills both in Spanish, English (Fluency required) and Italian (a plus)Strong aptitude to extrapolate consequences of complex concepts (energy policy, financial structures, legal documents, tax rules, etc) and implications of macro economical indicators changes in the company’s strategySelf-motivated with a high level of initiative and accountabilityOrganized, diligent, and able to track and manage multiple streams of information on an ongoing basisAbility to multi-task and work in a deadline driven environmentTeam playerUsed to work on multinational/ global companies
