HEAD OF M&A & LEGAL

We are looking for a dynamic Head of M&A and Legal for one our our client in Madrid (i.e. Leading International Software company) in order to create and develop the legal department in Spain and to join the group Legal and Corporate Affairs team.You will be in charge of: Supporting and advising the M&A business team on extraordinary transactions, in particular:collaborating with internal departments and external counsels to ensure seamless execution of M&A deals;providing assistance in drafting and negotiating non-disclosure agreements, binding and non-binding offers, term-sheets, MoUs, sale and purchase agreements (concerning shares/business units/assets etc), shareholders' agreements;taking part in negotiations with counterparties and coordinating external counsels;providing support in managing the activities relating to the closing of extraordinary transactions (i.e.: drafting/reviewing resignation letters, minutes of board/shareholders’ meetings, service agreements, lease agreements, side letters) as well as to the fulfilments to carry out following the closing of extraordinary transactions (i.e.: managing claims, relationships with managers, purchase price payments);Creating and leading the legal department in Spain;Developing adequate legal templates and processes;Providing general legal advice and support to the different business units of the Spanish companies of the group on a daily basis.As part of your role, you will gain exposure to a wide variety of projects and sectors and will report directly to the Corporate Head of Legal M&A (based in Milan) while collaborating with other members of the group Legal and Corporate Affairs team working internationally.We will consider your application if you fit with the following requirements: Has obtained a Bachelor degree in Law;You are qualified to practice law in Spain;Has at least 6 to 10 (PQE) in corporate law and m&a gained at leading international law firms;Is fluent in Spanish and English, in both written and spoken form (knowledge of the Italian language is a plus);Has excellent verbal and written communication skills;Has strong negotiating skills;Has an excellent flair for problem solving, goal-oriented work and dealing with highly challenging organizational contexts;Has a strong ability to work in an independent, proactive and goal-oriented manner,with an entrepreneurial mindset.This is a great opportunity to join a leading tech company in the market for digital business management solutions for companies and professionals that is growing exponentially and if you want to be in charge of creating a legal department from scratch.De acuerdo con lo previsto en el Reglamento (UE) 2016/679 del Parlamento Europeo y del Consejo de 27 de abril de 2016, relativo a la protección de las personas físicas en lo que respecta al tratamiento de datos personales y a la libre circulación de estos datos (en adelante, “RGPD”) y normativa de desarrollo le informamos que los datos que usted nos proporcione tras aplicar en nuestra oferta serán tratados por TALENTICO SKILL SL con la finalidad de llevar a cabo los procesos de selección tanto presentes como futuros para gestionar el reclutamiento de personal para terceras empresas.
