M&A EXPERT

Job OverviewDrive with global vision the leadership of an M&A project (including divestment), based on a holistic project coordination (internally/externally), generally of an international nature, and in accordance with the criteria established by the department to facilitate decision-making by senior management (CEO, CFO, CCO) and the Board of Directors of Cellnex.Main Responsibilities✓ Lead the execution of M&A projects (acquisitions/ divestments) both nationally and internationally, from scouting until final legal negotiation.✓ Scouting of M&A opportunities: regular meetings / conference call to be up-to-date of the market trends and ongoing M&A processes.✓ Conduct the search for a suitable partner for the execution of an M&A project (where required)✓ Global responsibility for DD coordination and specific support from different areas (legal, tax, finance, accounting, Commercial, Operations, Strategy teams).Lead the analysis on the main drivers for Due Diligence (DD) on the financial side (accounting/ tax/ financial).Challenge and participate in the legal, commercial and technical DD.✓ Internal and external coordination in M&A projects (from beginning until the end)Coordination with all Corporate Finance departments (Finance, Tax, Accounting, Investor Relations) ensuring coherence between them.Coordination with various internal teams (Strategy, Integration, Technology & Customer Solutions, Legal, Rating, People) ensuring coherence between them.Coordination of Investment Banks and partners (equity/debt).✓ Synthesize the information analysed to facilitate decision-making to senior management (CEO, CFO, Senior Officers) and the Board of Directors of Cellnex.✓Support/ Coordinate/ Teach junior team members on the following:Review/challenge of internal Business plan/modeling for all M&A projectsPerform/challenge valuations exercises: (i) discounted cash flows discounts, (ii) dividends discounts, (iii) multiples.Tax, accounting and financing structuring impacts.✓ Joint preparation (with Finance/ Rating teams) in the analysis of Cellnex Telecom impacts: RLFCF, Rating, price per share and net result.✓ Negotiation transaction documentation agreements (SPA/ SHA / etc.) together with Legal team.Candidate ProfileRelevant Experience:✓ At least 5 years of experience in financial advisory services for companies or investmentbanks in a senior position.✓ Valuable experience in: international environmentAcademic Profile:Bachelor of Business Administration, Economics or similar.Master in any finance specialization will be valuedLanguages:English ->Must-have - AdvancedSpanish -> Valuable - AdvancedIf you are interested in this position, please send your resume in English.About usBe part of a large and growing technology company that is redefining the future of telecoms.We are the European leader in telecommunications infrastructure and technological innovation, a company with strong geographic expansion and ambitious plans for sustainable global growth.We help people connect and interact with the world, working with passion, honesty and integrity.
